These Terms of Service (“Terms”) govern your use of business consulting services provided by Successful Bakery by Jimmy MacMillan (“we,” “us,” or “our”). By engaging our consulting services or visiting www.successfulbakery.com (the “Site”), you (“Client” or “you”) agree to these Terms and our Privacy Policy.
1. Scope of Services
We provide bakery business consulting, coaching, workshops, and related advisory services as agreed upon in individual proposals or statements of work. Specific deliverables, timelines, and milestones will be defined in writing before the engagement begins.
2. Engagement & Term
The consulting engagement commences upon acceptance of a written proposal, agreement, or confirmation email and continues until completion of agreed deliverables or termination as per Section 9. Projects may be project-based, retainer-based, or hourly/meeting-based, as specified in the proposal.
3. Fees & Payment Terms
-
Fees: Fees are outlined in advance via proposals or engagement letters.
-
Invoices: Invoices are issued according to the agreed schedule (e.g., upfront, milestone, or monthly). Payment is due within 14 days of invoice.
-
Late Payment: Late payments may incur a service charge of 1.5% per month or the maximum allowed by law.
-
Expenses: Pre-approved, reasonable out-of-pocket expenses (e.g., travel, materials) will be billed separately.
4. Intellectual Property
All original materials, reports, analyses, and deliverables prepared by Successful Bakery for the Client’s use during the engagement belong to the Client upon full payment, unless otherwise specified. We retain the right to reuse non-confidential templates, frameworks, and know-how developed prior to or independent of the engagement.
5. Confidentiality
Both parties agree to treat as confidential all non-public information obtained during the engagement, including business data, trade secrets, and proprietary methods, except:
-
If required by law or court order.
-
If information is already public through no fault of the receiving party.
This obligation survives termination of these Terms.
6. Client Responsibilities
The Client agrees to provide timely access to personnel, data, documentation, and resources as needed for project success. The Client’s participation is required for optimal results. Delays caused by Client may adjust project timelines or fees.
7. Independent Contractor Status
Successful Bakery acts as an independent contractor. Nothing in these Terms creates a partnership, employment, or joint venture relationship.
8. Limitation of Liability
Our total liability for any claim arising from or relating to these Services (whether in contract, tort, or otherwise) is limited to the total fees paid by you for the specific engagement giving rise to the claim. We are not liable for any consequential, incidental, or indirect damages, including lost profits or data.
9. Termination
Either party may terminate the engagement at any time with 14 days’ written notice. If terminated, the Client is responsible for all fees and approved expenses incurred up to termination. Some services may contain non-cancellable commitments; these will be disclosed at the outset.
10. Dispute Resolution
Disputes arising from these Terms shall first be addressed in good faith discussions. If unresolved, disputes may be submitted to mediation or, if necessary, binding arbitration in Chicago, IL, under Illinois law.
11. Governing Law
These Terms and any disputes shall be governed by the laws of the State of Illinois, United States.
12. Changes to Terms
