2. Engagement & Term

The consulting engagement commences upon acceptance of a written proposal, agreement, or confirmation email and continues until completion of agreed deliverables or termination as per Section 9. Projects may be project-based, retainer-based, or hourly/meeting-based, as specified in the proposal.

3. Fees & Payment Terms

  • Fees: Fees are outlined in advance via proposals or engagement letters.

Successful Bakery acts as an independent contractor. Nothing in these Terms creates a partnership, employment, or joint venture relationship.

8. Limitation of Liability

Our total liability for any claim arising from or relating to these Services (whether in contract, tort, or otherwise) is limited to the total fees paid by you for the specific engagement giving rise to the claim. We are not liable for any consequential, incidental, or indirect damages, including lost profits or data.

9. Termination

Either party may terminate the engagement at any time with 14 days’ written notice. If terminated, the Client is responsible for all fees and approved expenses incurred up to termination. Some services may contain non-cancellable commitments; these will be disclosed at the outset.

10. Dispute Resolution

Disputes arising from these Terms shall first be addressed in good faith discussions. If unresolved, disputes may be submitted to mediation or, if necessary, binding arbitration in Chicago, IL, under Illinois law.

11. Governing Law

These Terms and any disputes shall be governed by the laws of the State of Illinois, United States.
